Legal Entity & Scope of Terms
These Terms and Conditions govern access to the web portal and establish the primary operating parameters for commercial engagements with ZOD PETROLEUM OIL PRODUCTS & GAS TRADING L.L.C (Commercial License: 1373416 / 2337861, TRN: 105066991800001), incorporated in Dubai, United Arab Emirates, with registered offices at Office 2103, Anantara Business Building, Business Bay, Dubai, UAE ("ZOD Petroleum", "Company", "we", or "us").
Effective Date: September 2026. Applicable to all counterparties, commercial buyers, sellers, maritime charters, and accredited intermediaries.
1. Intermediary Protocol & Buyer Verification
In accordance with international commodity trading standards and UAE anti-fraud directives, ZOD Petroleum operates exclusively with verifiable end-buyers, authorized refinery operators, and officially mandated corporate representatives:
Mandatory Documentation
Transaction negotiations require an official Irrevocable Corporate Purchase Order (ICPO) issued on buyer letterhead with full corporate coordinates, accompanied by a recent Client Information Sheet (CIS) and banking coordinates for SWIFT validation.
Prohibition of Unmandated Intermediaries
We strictly reject chain-broker circulations, speculative offers, and requests involving unverified third parties. Any intermediary claiming representation must provide an executed Letter of Authority (LOA) or Mandate Certificate issued directly by the principal buyer or seller.
2. Trading Framework & Product Inspection (Q&Q)
All physical trade executions, including delivery terms, pricing formulas, and payment mechanisms, are governed by the following covenants:
- •Incoterms® 2020: Deliveries are executed under ICC Incoterms® 2020 rules, predominantly FOB (Fujairah, Rotterdam, Houston, Singapore), CIF (Rotterdam, Jurong, Qingdao, Mumbai), or CFR according to specific Sales & Purchase Agreements (SPA).
- •Independent Verification: Quantity and Quality (Q&Q) determination is conducted at load and discharge ports by first-class independent inspection agencies (SGS, Saybolt, Intertek, or Caleb Brett). Inspection findings are binding upon both parties.
- •Payment & Letters of Credit: Financial settlements are administered via Top Tier Western or GCC commercial banks using Documentary Letters of Credit (DLC, SBLC, MT700/MT760) subject to ICC UCP 600 or URDG 758 rules.
3. International Sanctions & Statutory Compliance
ZOD Petroleum maintains strict compliance with the sanctions regimes implemented by the United Nations Security Council (UNSC), the UAE Central Bank, the US Department of the Treasury Office of Foreign Assets Control (OFAC), the European Union, and the United Kingdom HM Treasury:
We do not charter vessels, finance transactions, or procure petroleum distillates involving sanctioned jurisdictions, designated persons, or blacklisted maritime vessels. Any attempted breach or fraudulent misrepresentation of origin will result in immediate termination of negotiations and formal reporting to relevant authorities.
4. Website Content & Intellectual Property
The content published on zodpetroleum.ae, including technical product specifications, trading corridor maps, and corporate publications, is provided solely for commercial informational purposes. It does not constitute a legally binding Soft Corporate Offer (SCO) or binding commitment until confirmed under our signed corporate seal.
5. Governing Law & Dispute Resolution
These Terms, as well as any non-contractual obligations arising from portal usage, are governed by and construed in accordance with the substantive laws of the United Arab Emirates as applied in the Emirate of Dubai.
Any dispute, controversy, or claim arising out of or in connection with commercial operations or web services shall be settled amicably, failing which it shall be referred to and finally resolved by the Courts of Dubai or arbitration administered by the Dubai International Arbitration Centre (DIAC).
